Event Ticket Protection

TERMS & CONDITIONS

Welcome to the world of Happiness Locked - your event ticket protection. Happiness Locked LLC (“Happiness Locked,” “our,” “us,” or “we”) offers event ticket protection services solely under these Terms & Conditions (“Terms”). These Terms are an agreement between you and Happiness Locked regarding your use of our “Event Ticket Protection,” whether purchased directly from us or from the company or website that sold you the event entry, registration, tickets, passes, or similar admission rights (collectively, the “Ticket”) to an event scheduled for a specific time and date (the “Event”) and has arranged for us to provide you with our Event Ticket Protection. By purchasing or using our Event Ticket Protection, you accept and consent to these Terms and to such other terms and conditions as may be provided on our website at www.happinesslocked.com/tos.

THIS IS NOT INSURANCE

The Ticket Provider has selected Happiness Locked to provide a ticket protection service, which is a separate service from ticket sales and may provide a refund in certain circumstances. Happiness Locked handles such refund requests for purchasers.

Definitions

For purposes of these Terms:

(a) “Face-Value Cost of the Ticket” means the base admission price of the Ticket for the Event, excluding any taxes, shipping, delivery, facility fees, service fees, convenience fees, processing fees, gratuities, donations, merchandise, parking, camping, VIP upgrades, bundles, add-ons, or the cost of Event Ticket Protection, unless we expressly state otherwise in writing at the time of purchase.

(b) “Used” means any Ticket that has been scanned, redeemed, checked-in, exchanged, transferred, resold, or otherwise utilized to obtain entry or access to the Event, or any portion thereof.

(c) “Original Payment Method” means the payment method used to purchase the Ticket(s) and/or the Event Ticket Protection at checkout, including the same card account, tokenized card, or other original payment rail.

(d) “Refund” means any refund, credit, reversal, or similar return of funds from any party relating to the Ticket, including from the Ticket Provider, promoter, venue, or platform.

(e) “Dispute” means any chargeback, payment dispute, fraud claim, reversal request, or similar claim made with a card network, bank, payment processor, or other financial institution relating to the Ticket(s) and/or Event Ticket Protection.

(f) “Ticket Provider” means the company or website that sold you the Ticket.

(g) “Immediate Family Member” means a spouse, domestic partner, child, stepchild, parent, stepparent, sibling, stepsibling, grandparent, grandchild, legal guardian, parent-in-law, child-in-law, brother-in-law, sister-in-law, or any person residing in the same household as you or your Affiliate at the time of the covered event.

(h) “Natural Disaster” means fire, flood, earthquake, hurricane, tornado, wildfire, or other comparable natural event that causes direct physical damage or materially prevents safe occupancy or access.

Livestream Access; Alternate Delivery; Limited Remedy

If, in connection with a Ticket purchase, you purchased access to livestream, broadcast, digital, virtual, or recorded content of an Event (collectively, “Livestream Access”), the parties acknowledge and agree that Livestream Access is a digital service separate from Event Ticket Protection.

In the event Livestream Access is not made available to you as intended due to a failure of the Livestream Access delivery under Happiness Locked’s control, Happiness Locked may, at its sole discretion, satisfy its obligations by providing alternate delivery of Livestream Access, including without limitation a temporary private link, an alternate streaming method, or a limited rewatch window for the applicable content. If Happiness Locked is unable to provide Livestream Access, whether through the original method or alternate delivery, within forty-eight (48) hours following your notice to Happiness Locked, then your sole and exclusive remedy shall be limited to a refund of the amount paid specifically for Livestream Access, if any, and not the Ticket price for in-person attendance, unless otherwise required by applicable law.

You agree to notify Happiness Locked of any Livestream Access issue promptly and, in any event, within forty-eight (48) hours of the scheduled start time of the livestream or the time you first attempted to access the Livestream Access, whichever occurs first. Livestream Access issues caused by factors outside of Happiness Locked’s control, including without limitation your device, software, internet connection, network conditions, user error, third-party platform outages, restrictions imposed by the Event, venue, or content owner, or force majeure events, shall not entitle you to any refund, Reimbursement, or other remedy, except as otherwise required by applicable law.

Event Ticket Protection Overview

Subject to these Terms, our Event Ticket Protection provides Reimbursement (as defined below) if you, or any person for whom you purchased a Ticket, or any person whose Ticket was purchased in the same order as yours (each, an “Affiliate”), are unable to use the Ticket(s) due to one or more of the following reasons as set out under Sections 1(a) through 1(e), or experience an Event Interruption as set out under Section 1(f). Event Ticket Protection does not cover any events, conditions, or occurrences that were reasonably foreseeable on or before the date your Ticket(s) were purchased.

1. Covered Reasons

1(a) Sickness; Death

Any significant bodily injury or any unforeseeable significant sickness or disease affecting you or your Affiliate, arising after the purchase of the Ticket(s) and before the Event, that results in you or your Affiliate being physically unable to attend the Event (each, an “Affliction”). To qualify as an Affliction, the Affliction must be examined by a Medical Professional who is not you, the Affiliate, or an Immediate Family Member of you or the Affiliate and who is licensed to practice medicine in the field applicable to the Affliction, before the Event, and that Medical Professional must provide a written recommendation that you or your Affiliate should not attend the Event.

Any life-threatening Affliction occurring to your or your Affiliate’s Immediate Family Member that requires you or your Affiliate to be responsible for the primary care of such Immediate Family Member.

Your death, or your Affiliate’s death, prior to the Event.

The death of your or your Affiliate’s Immediate Family Member within thirty (30) days prior to the Event.

1(b) Weather Emergency

Except as otherwise provided herein, any weather emergency issued or declared by a federal, state, or local government or authority that materially and actually prevents you or your Affiliate from attending the Event.

For the avoidance of doubt, snowfall, ice, rain, and any cancellation of the Event due to any type of weather are specifically excluded from Event Ticket Protection unless otherwise expressly stated in these Terms.

Weather Clarification. Weather Emergency coverage applies only when a government authority issues or declares a weather emergency and that emergency materially and actually prevents you from traveling to or attending an Event that otherwise occurs. Weather Emergency coverage does not apply to ordinary inclement weather conditions, including snow, ice, or rain, travel inconvenience, fear of travel, or Event cancellation, delay, postponement, or rescheduling due to weather.

1(c) Transportation Issues; Travel

Your or your Affiliate’s automobile being directly involved in an accident within two (2) days of the Event and that accident results in required repairs and prevents attendance at the Event.

The mechanical breakdown of your or your Affiliate’s only available vehicle within two (2) days of the Event that prevents attendance at the Event. Specifically excluded are any breakdowns resulting from running out of gas, oil, or any other event that could reasonably have been prevented by reasonable and routine maintenance of the vehicle.

Vehicle Operability Standard. For auto accident or mechanical breakdown claims, the incident must render the vehicle not safely operable or not reasonably usable to reach the Event. Documentation must include (a) the date and time of the incident, (b) repair facility documentation or towing documentation, and (c) a statement indicating the vehicle was not safely operable or reasonably usable for travel to the Event. We may deny claims involving minor cosmetic damage, routine maintenance, or conditions that do not reasonably prevent travel, and we may request additional documentation such as photographs, repair orders, or insurance reports or police reports where applicable.

Failures or delays within two (2) days of the Event by a licensed commercial transportation carrier (“Carrier”) paid to transport you and/or your Affiliate from one city to another that prevent attendance at the Event. The foregoing and the definition of “Carrier” specifically exclude rental vehicle companies, ride-share companies, private or non-commercial transportation providers, and rail, subway, city bus, ferry, taxi, or similar transportation carriers.

Carrier Delay and Cancellation Requirements. For any claim based on a Carrier failure, delay, or cancellation, you must provide carrier-issued documentation showing the scheduled departure and arrival times, the actual departure and arrival times, or cancellation, and the reason for disruption if available. Coverage applies only when the Carrier disruption is the direct cause of inability to attend the Event. Missed connections are covered only when caused by a covered Carrier delay or cancellation, and not when caused by insufficient connection time, late arrival to the airport, documentation issues, voluntary itinerary changes, standby travel, or traveler error. You must take reasonable steps to mitigate, including accepting reasonable rebooking options offered by the Carrier when available.

1(d) Employment; Work

You or your spouse’s current employer requires you or your spouse to relocate to a location that is at least one hundred (100) miles from your primary residence within sixty (60) days of the Event.

You or your Affiliate being terminated or laid off from your principal employer, for no cause and through no fault of your own or your Affiliate, with such employment having continued for at least twelve (12) continuous months (“Work”). For clarity, self-employment, employment by either you or the Affiliate, employment by any family member of you or your Affiliate, volunteer work, and any other unpaid or similar work are specifically excluded from Event Ticket Protection and from the definition of “Work.”

Except for disciplinary reasons, a change to you or your Affiliate’s personal time off status while serving full-time in the United States Armed Forces that prevents attendance at the Event.

The business operations of you or your Affiliate are interrupted by a Natural Disaster, burglary, theft, vandalism, bankruptcy, or default, and the foregoing results in the affected business ceasing operations for a period greater than five (5) business days within sixty (60) days before the Event.

1(e) Miscellaneous

You or your Affiliate’s primary residence becomes uninhabitable within sixty (60) days of the Event due to a Natural Disaster, burglary, or theft that causes such damage that a reasonable person would find the residence unfit for use.

You or your Affiliate are summoned for jury duty or served with an order from a federal or state court that requires an appearance and prevents attendance at the Event.

Court Order Documentation and Qualification. For jury duty, court order, summons, or subpoena claims, you must provide official court-issued documentation showing (a) the name of the required attendee, (b) the date, time, and location of the required appearance, and (c) that attendance is mandatory. Coverage does not apply where the appearance can be rescheduled or waived without penalty and you do not reasonably attempt to do so, or where the appearance relates to voluntary proceedings initiated by you.

1(f) Event Interruption

The following are “Event Interruptions” whereby you and/or your Affiliate experience any of the following after the start of the Event and are forced to leave the Event prior to its end:

(i) The death of you, your Affiliate, or an Immediate Family Member of you or your Affiliate;

(ii) Any unforeseeable severe bodily injury or unforeseeable severe illness (collectively, “Injury”) occurring to you and/or your Affiliate, where you and/or your Affiliate obtain medical treatment from a Medical Professional within three (3) hours of leaving the Event;

(iii) Any Injury occurring to your Immediate Family Member requiring hospitalization, where that Immediate Family Member receives an examination from a Medical Professional within three (3) hours of you leaving the Event; and

(iv) Any fire, burglary, theft, or Natural Disaster occurring at your or your Affiliate’s primary residence or Work.

Event Interruption Verification. For any Event Interruption claim, documentation must substantiate (a) the time you left the Event or ceased attendance, and (b) the qualifying event and required timing, for example medical treatment within the required period. We may verify attendance and exit timing using venue access records or other available verification sources, and we may deny claims if timing requirements are not met or cannot reasonably be verified.

Reimbursement

Except as otherwise expressly set out in these Terms, if a covered event occurs under Sections 1(a) through 1(f), Event Ticket Protection means that we will reimburse only the non-refundable Face-Value Cost of the Ticket paid by you (the “Reimbursement”).

For clarity, Reimbursement excludes any service fees, processing fees, delivery fees, taxes, donations, gratuities, add-ons, upgrades, and any amount paid for Event Ticket Protection or other protection services, unless otherwise expressly stated by us in writing.

If the Ticket is for multiple days, multiple admissions to a series of Events, or a full season of Events, Reimbursement is available only for the non-refundable Face-Value Cost of the Ticket if you or your Affiliate cancel prior to the start of the first day of the Event or prior to the start of the series or season of Events, and the Ticket for the remaining series or season of Events must be surrendered upon filing a claim under this Event Ticket Protection. Reimbursement specifically excludes any post-season, playoff, or special-event games for sports Tickets, unless otherwise expressly stated by us in writing.

Season Passes, Series Tickets, and Multi-Event Packages

Coverage for multi-day, series, season, or multi-event ticket packages applies only if a covered reason occurs before the first event date or before any Ticket in the package is Used. Once any portion of the package has been Used, Reimbursement for missed remaining dates is generally not available, except where these Terms expressly allow a prorated unused portion following a covered Event Interruption, in Happiness Locked’s sole discretion. Post-season, playoff, and special-event Tickets are excluded unless expressly stated otherwise.

If, due to a covered Event Interruption under Section 1(f), you are unable to use the Ticket for (i) the remainder of a series of Events, or (ii) at least thirty (30) days of the remaining term of a season pass, Reimbursement may instead be limited to the prorated unused portion of the non-refundable Face-Value Cost of the Ticket, as determined by Happiness Locked in its sole discretion.

Reimbursement Amount; Exclusions from Reimbursement

Reimbursement is limited to the non-refundable Face-Value Cost of the Ticket only. For avoidance of doubt, Reimbursement does not include any taxes, shipping, delivery, facility fees, service fees, convenience fees, processing fees, gratuities, donations, merchandise, parking, camping, VIP upgrades, bundles, add-ons, or the cost of Event Ticket Protection, regardless of whether such amounts are described as “fees” or are otherwise included in the total order amount, unless we expressly state otherwise in writing at the time of purchase.

Ticket Surrender; Transfer; Ownership Following Reimbursement

As a condition to any Reimbursement, you and/or your Affiliate, as applicable, agree to surrender the applicable Ticket(s) and all rights associated with such Ticket(s) to Happiness Locked. Upon payment or issuance of any Reimbursement, all right, title, and interest in and to the applicable Ticket(s), and any associated rights of entry, access, attendance, transfer, and resale, shall automatically vest in Happiness Locked, and you and your Affiliate shall have no further right to use, transfer, resell, or otherwise exercise any rights associated with such Ticket(s).

You and your Affiliate agree to reasonably cooperate with Happiness Locked and/or the Ticket Provider to effectuate the surrender and, if applicable, transfer of such Ticket(s) to Happiness Locked, including completing any required steps, confirmations, attestations, or documentation. Happiness Locked may, at its sole discretion, use, transfer, resell, or otherwise dispose of such Ticket(s), and may change any information associated with the Ticket(s) to the extent permitted by the Ticket Provider and applicable rules.

If the applicable Ticket(s) cannot be surrendered or transferred due to restrictions of the Ticket Provider, the Event, the venue, or applicable law, Happiness Locked may, at its sole discretion, deny the request for Reimbursement, or condition Reimbursement on such alternative proof of surrender and/or cancellation as Happiness Locked reasonably requires.

Return and Invalidation Requirement; Cooperation. As a condition of any Reimbursement, you agree to cooperate with us and the Ticket Provider to prevent any further use, transfer, resale, or redemption of the Ticket(s) for which you seek Reimbursement. Upon request, you must promptly return, transfer back, surrender, or otherwise make the Ticket(s) available for cancellation or invalidation, including digital Tickets, and you must follow reasonable instructions to complete such return or invalidation. If you do not comply with this requirement, or if you or any other person Uses, transfers, or resells a Ticket for which Reimbursement is sought or paid, we may deny the claim, reverse approval, or require repayment of any Reimbursement paid.

No Double Recovery; Repayment Obligation

You and your Affiliate acknowledge and agree that Reimbursement is intended to reimburse eligible non-refundable Face-Value Ticket costs only once. If you or your Affiliate receive, obtain, or are issued any refund, credit, chargeback, reimbursement, replacement ticket, voucher, settlement, or other compensation from any person or entity, including without limitation the Ticket Provider, Event promoter, venue, insurer, bank, or credit card issuer, with respect to any Ticket(s) for which Happiness Locked issued Reimbursement, you and your Affiliate agree to (i) promptly notify Happiness Locked, and (ii) repay Happiness Locked up to the amount of the Reimbursement issued, unless otherwise prohibited by applicable law.

No Double Recovery; Setoff; Recovery Rights. You may not obtain duplicate recovery for the same Ticket loss. If we pay Reimbursement and you later receive any Refund or other recovery for the same Ticket(s), you agree to repay us the amount of the duplicate recovery upon demand. To the extent permitted by law, we may offset any amounts you owe us against any future payments or reimbursements otherwise payable by us to you.

Payment Disputes; Chargebacks

If you or your Affiliate initiate or maintain a payment dispute, chargeback, or other reversal request with any bank, card issuer, payment provider, or other third party relating to a Ticket purchase for which Event Ticket Protection is sought, Happiness Locked may, at its sole discretion, suspend review of the request for Reimbursement until the dispute is resolved, or deny the request for Reimbursement. If a Reimbursement is issued and you or your Affiliate later initiate or receive funds through a dispute, chargeback, or reversal relating to the same Ticket(s), you and your Affiliate agree to repay Happiness Locked up to the amount of the Reimbursement issued, unless otherwise prohibited by applicable law.

Dispute Hold; Cooperation. If a Dispute is initiated at any time relating to the Ticket(s) and/or Event Ticket Protection, including a chargeback or fraud claim, we may suspend review, deny, or delay payment of any Reimbursement request until the Dispute is resolved to our satisfaction. If Reimbursement has already been paid and a Dispute is later initiated or escalated, you agree to cooperate in good faith with us and the Ticket Provider to resolve the Dispute and prevent duplicate recovery.

Filing for Reimbursement; Process

All requests for Reimbursement under our Event Ticket Protection shall be delivered to us in writing by you or someone acting on your behalf within thirty (30) days following the occurrence of any event under Sections 1(a) through 1(f) by submitting the form on our website at https://www.happinesslocked.com/contact-us. Any claim submission and any follow-up email correspondence must include the applicable PURCHASE number, and we may delay review until that information is provided.

Upon receipt of your claim request, we will provide you with forms to complete and submit to us, together with any required supporting materials such as written statements, records, images, carrier records, court records, repair records, employer records, or written recommendations from a Medical Professional, as applicable, to substantiate your proof of loss and request for Reimbursement (collectively, the “Reimbursement Forms”).

The Reimbursement Forms must be submitted to us within thirty (30) days following your receipt of the Reimbursement Forms by email to support@happinesslocked.com.

Claim Attestation. As a condition of submitting or receiving any Reimbursement, you agree that all claim statements and documents you provide are true, accurate, and complete, and you may be required to sign an attestation, including under penalty of perjury where permitted by law, confirming (a) the claim facts, (b) that you have not Used, transferred, resold, or listed for resale any Ticket for which you seek Reimbursement, and (c) that you have not received and will not seek any duplicate recovery for the same loss. If you refuse to provide the attestation, we may deny the claim.

Payment Method; Identity Verification. Any Reimbursement will be issued only to the original purchaser of the Event Ticket Protection and, where feasible, returned to the Original Payment Method. If return to the Original Payment Method is not feasible, we may, in our discretion, require additional identity verification and may instead issue payment by check mailed to the original billing address on file at the time of purchase, or by another payment method that reasonably confirms the payee’s identity, entitlement to payment, and connection to the original transaction. We may deny any claim if we cannot reasonably verify the claimant’s identity, entitlement to payment, original purchaser status, or the integrity of the underlying transaction.

Once received, we will review the Reimbursement Forms and any approved Reimbursement will be paid to you within thirty (30) days following the date we approve the Reimbursement and confirm the process of payment to you, if living, or to your estate, or in the event you are a minor or are otherwise unable to give a release of payment, to your legal guardian. For clarity, no Reimbursement shall be available if you, your Affiliate, or a family member intentionally conceal and/or misrepresent any material fact or circumstance regarding the claim request and/or Reimbursement Forms, or if any of the foregoing are determined to have committed fraud or intended to deceive, as determined by us at our sole discretion.

Record Integrity. You agree not to manipulate, falsify, or attempt to alter information used to evaluate eligibility for Event Ticket Protection, including purchaser identity, payment identity, billing information, Ticket ownership, Ticket status, attendance status, or supporting documentation. Any such attempt is grounds for denial, reversal of approval, and repayment of any Reimbursement paid, and may be treated as fraud or intent to deceive.

Records and Verification Sources. Our internal records, together with records provided by the Ticket Provider, venue, promoter, payment processor, or other relevant third party, may be used in evaluating claim eligibility, Ticket status, payment identity, and duplicate recovery, and such records may be relied upon by us absent clear and convincing evidence to the contrary.

Exclusions

In addition to the other Terms, you and your Affiliate acknowledge and agree that no Reimbursement shall be available in the event of the following:

Except as otherwise expressly provided herein, you or your Affiliate change plans or are subject to a contractual requirement that prevents attendance at the Event;

You or your Affiliate were medically unable to attend the Event at the time the Ticket was purchased, or you or your Affiliate had been advised by a medical professional prior to the date the Ticket was purchased not to attend the Event or a similar event;

You or your Affiliate are unable to attend the Event, or are either forced or choose to leave the Event prior to the end of the Event, due to any of the following:

Any self-inflicted harm, suicide, or attempted suicide by either you, your Affiliate, or either of your family members; and

Any mental or health disorders, or any alcohol or substance abuse, or any conditions or complications related thereto of you, your Affiliate, or either of your family members.

Any war, acts of war, whether declared or undeclared, civil disorder, civil unrest, terrorism, government orders or actions, labor strikes or disruptions, epidemic, pandemic, quarantine, acts of God, Natural Disasters except as otherwise expressly set out in these Terms, or any other similar events or circumstances that are unforeseeable and unavoidable;

Any unlawful acts committed or threatened to be committed by you, your Affiliate, or any of your family members;

Except as otherwise expressly provided herein, the cancellation or delay of the Event by the venue or promoter;

Event Cancellation, Postponement, Reschedule, Delay, or Partial Event Changes. Except as expressly stated in these Terms, no Reimbursement will be available due to cancellation, postponement, rescheduling, delay, curtailment, partial cancellation, or modification of an Event, including cancellation of one or more days of a multi-day Event, whether caused by the venue, promoter, performers, weather, or any other reason. If the Ticket Provider offers a Refund, credit, rollover, exchange, or comparable remedy due to any such Event change, you must pursue that remedy with the Ticket Provider and you are not eligible for Reimbursement to the extent such remedy is available;

Any loss or theft of your or your Affiliate’s Ticket;

Except as otherwise prohibited by law, failure to timely submit the claim request and Reimbursement Forms; and

Any other expected or reasonably foreseeable circumstances.

Talent / Program Changes. Coverage does not apply to talent nonappearance, substitutions, lineup changes, schedule changes, or any change to the Event program or experience, including a participant, including the purchaser or any family member, not performing or appearing for any reason.

Clarification - Event Changes; Event Experience; Ticketing Issues

For clarity, and without limiting the Exclusions in these Terms, Event Ticket Protection is not a satisfaction guarantee for the Event and does not provide Reimbursement due to Event changes or Event experience issues. The following are not covered and must be addressed with the Ticket Provider, Event promoter, or venue, as applicable: cancellation, postponement, rescheduling, date changes, time changes, venue changes, relocation, conversion to virtual or hybrid formats, lineup changes including headliner or supporting act changes, schedule changes, shortened Events, early closure, seating configuration changes, age restriction changes, accessibility accommodation changes, failure of promised amenities, oversold conditions, inability to enter due to venue rules or conduct, sound or lighting issues, view obstruction, and any ticketing or platform issues including wrong ticket type, duplicate purchase, delivery issues, scanning issues, checkout errors, fee disputes, or similar issues. Except as otherwise expressly provided in these Terms, these circumstances do not constitute covered reasons under Section 1(a) through 1(f).

Ticket Use; Transfer; Resale; Scan Status; Venue Denial

Except for a covered Event Interruption expressly set out under Section 1(f) of these Terms, no Reimbursement shall be available for any Ticket that has been Used. No Reimbursement shall be available if you or your Affiliate are denied entry or removed due to violation of venue or Event rules, conduct, intoxication, prohibited items, dress code, trespass, being on a banned list, or similar reasons.

Used Tickets Not Covered; Verification Right. No Reimbursement will be provided for any Ticket that is Used. You agree that we may verify whether a Ticket was Used by checking scan, redemption, check-in, transfer, exchange, or access records with the Ticket Provider, venue, promoter, or their authorized agents, and you authorize those parties to share such verification information with us for purposes of evaluating and administering your claim.

Clarification - Additional Non-Covered Circumstances

For clarity, and without limiting the Exclusions in these Terms, no Reimbursement shall be available due to: financial hardship or inability to pay; card limits, overdrafts, bank holds, or delayed paychecks; lodging issues, including hotel or short-term rental cancellation, overbooking, or dissatisfaction; passport, visa, immigration, or border entry issues; lost or delayed luggage; personal preference, fear, discomfort, or moral or ethical objections; personal safety concerns or perceived safety concerns; buyer’s remorse; forgetting about the Event; social plans changing; childcare issues not otherwise covered under Section 1; ticketing or platform issues, including wrong date or wrong city purchases, duplicate purchases, delivery issues, wallet app issues, checkout glitches, platform outages, fee disputes, or similar issues; and any other circumstance not expressly listed as a covered reason under Section 1(a) through 1(f).

Your Duties

You agree that the obligations of Happiness Locked are conditioned on you meeting your duties and obligations to reasonably assist Happiness Locked, to clearly and fully communicate relevant information, and to avoid foreseeable harm and wasteful claims. Your duties include, without limitation, the following:

You must provide sufficient documentation to verify that your refund request falls under one or more of the reasons listed in Section 1 of these Terms.

Documentation and Verification. You must provide complete and accurate documentation reasonably acceptable to us to substantiate a claim, and you authorize us to verify claim information with relevant third parties, including Medical Professionals, courts, transportation carriers, repair facilities, employers, and the Ticket Provider, venue, or promoter, as applicable. You agree to execute additional authorizations reasonably required to complete verification. If you refuse verification or provide incomplete, inconsistent, or misleading information, we may deny the claim.

Medical Claim Requirements. For any claim based on Affliction or other medical reasons, documentation must (a) be completed by a Medical Professional who examined the patient, (b) identify the patient by name and date of birth, (c) include the date and time of examination or treatment, (d) describe the medical condition or symptoms and the functional limitation preventing attendance, and (e) include a clear written recommendation not to attend the Event. We may deny claims supported only by self-diagnosis, non-clinical notes, incomplete notes, or notes that do not reflect an actual examination. To reduce fraud and improve verification, we may require that the examination occur within a reasonable time of the Event, unless the condition involves emergency care, hospitalization, or other circumstances reasonably preventing a timely visit. Telehealth documentation may be rejected if it does not reasonably substantiate the condition or if verification is not possible.

If necessary, you must demonstrate that you provided information that was accurate to the best of your knowledge at the time you completed your purchase, were not aware of any material fact, matter, or circumstance that could give rise to a refund request at the time you completed your purchase, were not aware of any circumstances that made your loss foreseeable, intended, or expected when you completed your purchase, and made all necessary arrangements to arrive at the Event on time and took all reasonable precautions to prevent or reduce any request for a refund.

You must consent to the processing of your personal data in accordance with both the ticket seller’s privacy policy and our privacy policy.

You must consent to receive all notices and documents from us electronically, which will be sent to the email address provided at the time of purchase.

Miscellaneous

Updates to Terms

We may revise and update these Terms from time to time in our sole discretion. Any changes will be effective upon posting for future purchases made on or after the stated effective date of the updated Terms, unless otherwise required by applicable law. The Terms in effect at the time Event Ticket Protection is purchased will govern that purchase unless these Terms expressly state otherwise or applicable law requires a different result.

Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Except as expressly set forth herein, the exercise by us, you, or your Affiliate of any remedy under these Terms will be without prejudice to any other remedies available under these Terms or otherwise. If any provision of these Terms is held by a court of competent jurisdiction or a duly appointed arbitrator to be invalid, illegal, or unenforceable for any reason, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.

Assignment

You may not assign, delegate, or transfer the Event Ticket Protection or these Terms without our prior written consent, but we may freely assign, delegate, or transfer these Terms without restriction. Any attempt by you to assign or transfer these Terms, or any transfer, sale, or assignment of the Ticket by you or your Affiliate, without such consent will be null and void and will void the Event Ticket Protection. Subject to the foregoing, these Terms will bind and inure to the benefit of us and you, and our respective successors and permitted assigns.

Choice of Law; Arbitration; Limited Court Proceedings

These Terms and the Event Ticket Protection services shall be governed by and construed in accordance with the internal laws of the State of Oregon, without regard to its conflict of laws rules. Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the Event Ticket Protection, your purchase, our relationship, or any Reimbursement request shall be resolved exclusively by binding arbitration under the Federal Arbitration Act and administered by Judicial Arbitration and Mediation Services, Inc. (“JAMS”) before a single arbitrator in Portland, Oregon, USA.

You agree that all claims must be brought on an individual basis only, and not as a plaintiff or class member in any purported class, representative, or collective action. The arbitrator shall not consolidate more than one person’s claims or otherwise preside over any form of class, representative, or collective proceeding.

Notwithstanding the foregoing, either party may seek temporary, preliminary, or ancillary relief in a state or federal court located in Oregon solely to compel arbitration, stay proceedings pending arbitration, confirm, modify, vacate, or enforce an arbitration award, or as otherwise permitted by applicable law. In no event shall the arbitrator or any court award against us or our affiliates, or any of their respective employees, agents, officers, or directors, any indirect, special, incidental, consequential, or punitive damages, including but not limited to personal injury, pain and suffering, emotional distress, loss of profits, loss of business, or anticipated savings, regardless of the basis for such claim, except to the extent such limitation is prohibited by applicable law.

Warranty of Capacity

By purchasing the Event Ticket Protection, you, for yourself and also for your Affiliate, represent and warrant that no other person or entity has, or has had, any interest in the Event Ticket Protection except as otherwise set forth herein, and that you are competent and have capacity to enter into contracts of the nature of event ticket reimbursement services, and that you do so willingly and without being forced or coerced.
